Terms of Sale

These Terms of Sale (“Terms”) govern all purchase transactions between you (“Buyer”) and Renew Lab Group (“Seller,” “we,” “us,” or “our”), a Houston, Texas-based pharmaceutical testing and manufacturing facility. By placing an order with Renew Lab Group, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not place an order.

1. Eligibility

All products are sold exclusively to licensed pharmacies, hospitals, compounding facilities, research institutions, and other qualified B2B buyers. Proof of licensing may be required. By placing an order, you represent and warrant that:

• You are a qualified purchaser as defined in our Legal Disclaimer & Compliance Policy
• You hold all licenses, permits, and regulatory authorizations required by applicable federal, state, and local law for the purchase, possession, and use of pharmaceutical-grade research materials
• Your purchase and intended use comply with all applicable regulations, including but not limited to those of the FDA, DEA (where applicable), and your state board of pharmacy
• You are 18 years of age or older and have legal authority to enter into binding contracts on behalf of your organization

Renew Lab Group reserves the right to refuse or cancel any order if we have reason to believe the purchaser does not meet eligibility requirements. Misrepresentation of your eligibility status may result in account termination and referral to appropriate regulatory authorities.

2. Product Use

Products are pharmaceutical-grade and intended for use consistent with the buyer’s licenses and applicable regulations. Products are not for direct consumer sale or unauthorized use.

All products sold by Renew Lab Group are designated Research Use Only (RUO) unless otherwise specified in writing. These products are not intended for, and must not be used in, diagnostic, therapeutic, or clinical applications involving human patients or animals outside of properly authorized research contexts. Specifically:

• Bacteriostatic water and sterile water products are intended for use as pharmaceutical-grade diluents in laboratory research, sterile compounding, and institutional applications consistent with the buyer’s professional license
• Products must not be relabeled, repackaged, or resold to end consumers or unlicensed parties
• Use of products outside the scope of your professional license or institutional authorization is strictly prohibited
• All products must be stored, handled, and disposed of in accordance with applicable regulations and professional standards

3. Orders & Pricing

Quotes are provided upon request. Prices are subject to change. Bulk and institutional pricing is available for qualified buyers.

• Quote requests: Submit via our contact page or email support@renewlabgroup.com. We respond to B2B inquiries within 1 business day.
• Price changes: Listed prices are subject to change without notice. The price confirmed at the time of order acceptance is binding for that order.
• Institutional pricing: Volume pricing and standing order discounts are available for licensed compounding pharmacies, hospital systems, and qualifying research institutions. Contact us to establish an account.
• Order acceptance: An order is not accepted until confirmed by Renew Lab Group in writing (email confirmation). We reserve the right to decline any order at our discretion.
• Minimum order: No minimum order quantity for standard 10mL and 30mL vial sizes. Minimum quantities may apply for custom or bulk orders.
• Payment: Payment terms are as specified in your order confirmation or institutional account agreement. Orders from new accounts without established credit terms are prepaid.

4. Shipping & Delivery

Same-day shipping is available for orders placed before 2 PM CST (Mon–Fri). We ship nationwide from Houston, Texas.

• Carrier selection: Renew Lab Group selects carriers at our discretion. Expedited shipping options are available at additional cost.
• Risk of loss: Title and risk of loss pass to the Buyer upon tender of the shipment to the carrier at our Houston facility.
• Delivery delays: We are not liable for delivery delays caused by carrier failures, weather events, natural disasters, or other circumstances beyond our reasonable control.
• Damaged shipments: Inspect all orders upon receipt. Report visible damage or temperature excursion concerns to support@renewlabgroup.com within 48 hours of delivery.

5. Documentation

A batch-specific Certificate of Analysis (COA) is included with every order. The COA documents:

• HPLC purity analysis — benzyl alcohol concentration and purity per USP <621>
• Bacterial endotoxin test results — LAL method per USP <85>, limit <0.1 EU/mL
• Sterility test results — USP <71>, 14-day incubation
• pH measurement — USP <791>
• Particulate matter — USP <788>
• Total Organic Carbon — USP <643>
• Water Conductivity — USP <645>

The COA lot number is traceable to the physical product received. Buyers are responsible for retaining COA documentation for their own compliance records. Additional supplier qualification documentation is available upon request for institutional accounts.

6. Returns & Disputes

Due to the pharmaceutical-grade and sterility-sensitive nature of our products, all sales are final unless the product is defective or there is a documented shipping error on our part. To initiate a return or dispute:

• Contact support@renewlabgroup.com within 5 business days of delivery
• Provide your order number, a description of the issue, and photographic documentation where applicable
• Do not return products without prior written authorization from Renew Lab Group
• Unauthorized returns will not be accepted and will not be eligible for credit or replacement

7. Limitation of Liability

Our liability is limited to the purchase price of the products. We are not liable for indirect or consequential damages.

To the maximum extent permitted by applicable law, Renew Lab Group’s total liability to Buyer for any claim arising from or related to the purchase of products shall not exceed the total amount paid by Buyer for the specific order giving rise to the claim. In no event shall Renew Lab Group be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, business opportunity, or goodwill
• Damages arising from Buyer’s use of products outside the scope of applicable licenses or these Terms
• Damages caused by Buyer’s failure to follow proper storage, handling, or use procedures
• Third-party claims against Buyer arising from Buyer’s use of the products

8. Indemnification

Buyer agrees to indemnify, defend, and hold harmless Renew Lab Group and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) Buyer’s breach of these Terms; (b) Buyer’s use of products outside of authorized applications; (c) Buyer’s violation of applicable law or regulation; or (d) any misrepresentation by Buyer regarding its eligibility, license status, or intended use.

9. Intellectual Property

All trademarks, trade names, logos, product names, COA formats, website content, and other intellectual property of Renew Lab Group are owned by Renew Lab Group or its licensors. No license to use our intellectual property is granted by these Terms or by the purchase of products.

10. Governing Law

These terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from these Terms or the purchase of products shall be resolved exclusively in the state or federal courts of Harris County, Texas. Both parties consent to personal jurisdiction in such courts.
